Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern access to and use of the Orbital website and any proposal, statement of work, or engagement entered into with Orbital ("we", "us"). By using this site or engaging our services you agree to these Terms.

2. Services

Orbital designs, builds, and operates web platforms (e-commerce, B2B, and learning systems) and related AI agent workflows. The specific scope, deliverables, timeline, and price for any engagement are set out in a separate written proposal or statement of work, which takes precedence over this page in the event of a conflict.

3. Client responsibilities

Clients agree to provide timely access to content, credentials, and feedback required to complete a build, and to hold the necessary rights to any material supplied to us for use in a project.

4. Payment

Unless otherwise agreed in writing, one-time builds are invoiced in milestones tied to the proposal, and recurring services are billed in advance on a monthly basis. Late payment may pause active work.

5. Intellectual property

Upon full payment, the client owns the custom code delivered as part of their build. Orbital retains ownership of its internal tooling, frameworks, and pre-existing components reused across engagements, and grants the client a perpetual license to use them as part of the delivered project.

6. Warranties and liability

Services are provided on an "as-is" basis beyond the specific warranties stated in a project's statement of work. To the maximum extent permitted by law, Orbital's total liability for any claim arising from an engagement is limited to the fees paid for that engagement in the preceding three months.

7. Termination

Either party may terminate an ongoing engagement with written notice as specified in the applicable statement of work. Fees for work completed up to the termination date remain payable.

8. Governing law

These Terms are governed by the laws of the jurisdiction in which Orbital is registered, without regard to conflict-of-laws principles. Disputes will first be addressed through good-faith negotiation.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "last updated" date above.
